All sales by Cole-Parmer are subject to and conditioned upon the following terms and conditions and Cole-Parmer’s standard terms and conditions of sale published in its catalogs or posted on its website, as amended from time to time, notwithstanding any conflicting terms or conditions set forth in any customer documents, which Cole-Parmer hereby rejects.

Prices and Taxes/Duty: Prices are subject to change without notice. The prices shown are current ex-warehouse Bhiwandi, Maharashtra prices at the time of printing. Prices are inclusive of applicable excise/customs duty, but exclusive of all other applicable taxes and levies. Exemption from taxes/duty can be sought by furnishing the applicable declaration/certificate when placing the order. (If your organization is exempted from paying Customs duty and can provide the certificate to that effect, please contact us for prices excluding Customs duty).

To confirm current prices and availability, contact our Customer Contact Department by phone, fax, or e-mail. You can also request formal quotations freight estimates and specific requirements. There is no minimum order value and all orders are welcome.

Terms of Payment: Terms of payment are subject to change in our sole discretion, based on payment history, credit approval, and order value. You agree to pay all costs and expenses associated with collection of your account if it becomes delinquent, including court costs, expenses, and reasonable attorneys’ fees.

Order Placement: All orders must be placed through Scientific Products India Pvt. Ltd.

Orders which are in writing, once placed, shall not be revoked or cancelled. So also the goods, once dispatched against the confirmed order, shall not be returned and the company shall not accept such returned goods.

Product Design Changes: Due to continuing improvements in design, some items may differ slightly from the description and photograph in the catalog. Specifications are subject to change without notice. If you have questions, our Application Specialists will be happy to discuss any design improvements and advantages. We continually update our database with all current product information and changes, which we will relay to you when your order is processed.

Compliance: All dealers and customers must comply with the local and central statutory requirements, such as obtaining the required licenses, road permits, statutory licenses, etc., while placing the order as well as when the goods are purchased, stored, and used. As a supplier of "Dual Use" scientific products—those having both civilian and military applications—Cole-Parmer must comply with United States export laws. In fulfilling our lawful duties we may require additional information in the processing of your order.

Shipments: Orders are to be placed either on FCA basis or CIP basis. If the order is on FCA basis, please provide the freight forwarder’s details on the PO.

We accept flexible delivery options by road or air, through courier or to your transporter.

Cole-Parmer will not be liable for any claim, loss, or damage caused in whole or in part due to delay in or failure to make delivery when such delay or failure is directly or indirectly caused by act of God; strike or other labor difficulty; transporation problems; inability or delay in obtaining necessary labor, material or products from usual sources; material shortages; accident; act of any civil or military authority; act of war; or act of purchaser; or by the occurrence of any other contingency beyond Cole-Parmer’s reasonable control. In such event, the date of delivery or time for completion shall be postponed by such length of time as may be reasonably necessary to compensate for the delay.

Warning - Product Use Limitation: The products within this catalog are not designed for nor intended for use in patient-connected applications including, but not limited to, medical and dental use, and accordingly have not been submitted for FDA approval.

Warranty: Cole-Parmer (“Cole-Parmer”) warrants products manufactured by Cole-Parmer or its subsidiaries, and products manufactured to Cole-Parmer’s specifications by third parties under contract with Cole-Parmer, to be free from defects in material and workmanship for a period of one year from the date of shipment, under normal use and service, unless a different warranty period is specified in the Cole-Parmer catalog, product packaging, or web site. Cole-Parmer’s sole responsibility and the customer’s exclusive remedy for any claim arising out of the purchase of any product manufactured by Cole-Parmer or its subsidiaries is, at Cole-Parmer’s option, repair, replacement, or credit, where applicable. Unless otherwise agreed in writing, the foregoing warranty is limited to the country in which the product is sold. No Cole-Parmer employee, agent or representative has the authority to bind Cole-Parmer to any warranty other than the foregoing unless in writing and signed by a duly authorized officer of Cole-Parmer. Cole-Parmer makes no warranty and shall have no obligation except as stated in its returned goods policy with respect to expendable or consumable products. For products not manufactured by Cole-Parmer, its subsidiaries, or to Cole-Parmer’s specifications by third parties under contract with Cole-Parmer, to the extent permissible, Cole-Parmer will make available to its direct purchaser the manufacturer’s applicable warranty, without recourse against Cole-Parmer. COLE-PARMER DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. In no event: (i) shall the cost of the customer’s exclusive remedy exceed the purchase price of the subject product; (ii) shall Cole-Parmer be liable for any special, indirect, incidental, consequential, or exemplary damages, howsoever arising, even if Cole-Parmer has been advised of the possibility of such damages.

In no event will a warranty cover damage caused by or resulting from accident, neglect, customer abuse, misuse, modification, improper operation, maintenance or service, or unauthorized installation, alterations or repairs to the products, and in such instances the associated repair charges will be billed to the customer.

Cole-Parmer will not be responsible for shipping damage resulting from inappropriate or insufficient packaging of returned items. Items being returned must be carefully packed to prevent damage in shipment and insured against possible damage or loss.

Claims and Insurance: Your order is filled, checked, rechecked, and packed with the utmost care and forwarded at the customer’s risk. If the customer wants the goods to be insured, upon customer request the company will insure such goods in transit and the premium cost will be borne by the customer. If damage has occurred with uninsured items, keep the carton and all of the packing materials. Please report the details immediately to the carrier and then contact our Customer Contact Department.

Return of Items: Items dispatched, if deemed to be not as per the specifications or of the quality required, must be returned to the place of invoice immediately and in any case not later than 4 weeks from the date of receipt. All returned merchandise must be in unused, resalable condition, and must not be contaminated with hazardous materials. Some products are subject to restocking charge.

Returns require a return authorization number from our International Sales Department. To obtain this number, please provide us with:

• our reference number (on the packing slip) or our invoice number
• your purchase order number
• catalog number(s) of the items
• opened liquids, chemicals or reagents
• reason for the return
• date of purchase
• action requested (credit, replacement, repair, etc.)
